Terms of Service

Introduction
We (the Heda team) run a service called Heda and would love for you to use it. Our basic service is free, and we offer paid upgrades for advanced features. Our service is designed to transform Discord voice conversations in technical communities into searchable, valuable intelligence. Heda uses proprietary speech and speaker recognition technology to transform voice conversations into legible text with technical context preservation in real-time. We never record or store the audio from any conversations. The service also enables you to search, share, and integrate these transcripts with your developer tools.
Terms of Service
The following terms and conditions govern all use of the Heda.io website and the Heda Discord bot (collectively “the Service”) and all content, services, and products available at or through the Service. The Service is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Heda's Privacy Policy) and procedures that may be published from time to time by Heda (collectively, the “Agreement”).
Please read this Agreement carefully before accessing or using the Service. By accessing or using any part of the Service, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, then you may not access the Service or use any services. If these terms and conditions are considered an offer by Heda, acceptance is expressly limited to these terms.
The terms “you,” “your,” “yourself” shall also include your employees, agents, business representatives, and any other individuals that you provide access to the Services through your Account (as defined below). You are responsible for ensuring that all persons who access the Services through your account are aware of these Terms and comply with them.
Electronic Communications
When you visit the Website or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Intellectual Property
All content included on the Website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Heda or its content suppliers and protected by international copyright laws. The compilation of all content on the Website is the exclusive property of Heda and protected by international copyright laws. All software used on the Website is the property of Heda or its software suppliers and protected by international copyright laws.
Other trademarks, service marks, graphics, and logos used in connection with the Service may be the trademarks of other third parties. Your use of the Service grants you no right or license to reproduce or otherwise use any Heda or third-party trademarks.
Your Heda Account
If you use this Service, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. Heda reserves the right to refuse service, terminate accounts, remove or edit content in its sole discretion.
Changes
Heda reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Service following the posting of any changes to this Agreement constitutes acceptance of those changes. Heda may also, in the future, offer new services and/or features through the Service (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
Subscription Tiers and Payment
Payment and Renewal - General Terms
Optional paid services are available on the Service (any such services, an “Upgrade”). By selecting an Upgrade you agree to pay Heda the monthly or annual subscription fees indicated for that service. Payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated. Upgrade fees are not refundable.

Payment and Renewal - Automatic Renewal
Unless you notify Heda before the end of the applicable subscription period that you want to cancel an Upgrade, your Upgrade subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee for such Upgrade (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Upgrades can be canceled at any time in the Account section of the Service dashboard.
Payment and Renewal - Cancellation and Termination
You are solely responsible for properly canceling your account. All of your content will be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is canceled. All service charges accrued up until the cancellation date must be paid in full.
Heda, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Heda service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. Heda reserves the right to refuse service to anyone for any reason at any time.
All provisions of this Agreement which by their nature should survive cancellation or termination shall survive cancellation or termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Rules of Conduct
There are rules of conduct that you must follow when you use the Services. You must not:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
- Infringe upon or violate Heda's intellectual property rights or the intellectual property rights of others
- “Harvest” (or collect) information from the Service using an automated software tool or manually on a mass basis (unless we have given you separate written permission to do so)
- Use automated means to access the Service, or gain unauthorized access to the Service or to any account or computer system connected to the Service
- Obtain, or attempt to obtain, unauthorized access to areas of the Service or our systems
- “Flood” the Service with requests or use the Services in any manner that could disable, overburden, damage, or impair the Service
- Circumvent or reverse engineer the Service or its systems
- Manipulate or forge identifiers in order to disguise the origin of any information posted on the Service or otherwise provided to us or our employees
- Impersonate or attempt to impersonate Heda, a Heda employee, another user, or any other person or entity
- Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
- Spam, phish, pharm, pretext, spider, crawl, or scrape
- Engage in any other conduct that interferes with anyone's use or enjoyment of the Services, or which, as determined by us, may harm Heda or users of the Services or expose them to liability
Responsibility for Voice Transcription
The Services provide features that allow you to transcribe Discord voice conversations in real-time. The laws regarding the notice and notification requirements of such transcribed conversations vary by location. It is your responsibility to follow applicable foreign, federal, and local laws when using such features, including informing the participants in your Discord voice channels that the conversation is being transcribed. We do not record or store the audio from any conversations. We do not condone the use of our Services for illegal purposes.
You and others whose conversations you transcribe are solely responsible for any content that becomes part of the transcribed data. If you transcribe through the Service conversations, meetings, or discussions (“Customer Data”), you affirm, represent, and warrant that any processing of such Customer Data by Heda will not violate any applicable laws or regulations.
The use of the Services is done at your own discretion and risk and with the agreement that you will be solely responsible for Customer Data and the consequences of transcribing, submitting, and publishing Customer Data on or through the Services.
Indemnification
You agree to indemnify and hold harmless Heda, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.
Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS”. HEDA AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER HEDA NOR ITS SUPPLIERS AND LICENSORS MAKES ANY WARRANTY THAT THE SERVICE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE SERVICE AT YOUR OWN DISCRETION AND RISK.
Limitation of Liability
IN NO EVENT WILL HEDA, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO HEDA UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION. HEDA SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND THEIR REASONABLE CONTROL. THE FOREGOING SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
General Representation and Warranty
You represent and warrant that your use of the Service will be in strict accordance with the Heda Privacy Policy, with this Agreement, and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside) and your use of the Service will not infringe or misappropriate the intellectual property rights of any third party.
Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Amendments
We may amend these Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
